"Client" refers to any individual or entity that engages Nexorion to provide tax consultancy services.
"Services" refers to any tax consultancy, tax optimization, or related services provided by Nexorion.

"Content" refers to all information, text, graphics, logos, photographs, videos, software, and other materials on our Website.

3. Services

Nexorion provides tax consultancy and optimization services to businesses and individuals in Singapore. Our services may include, but are not limited to, corporate tax planning, business restructuring, transfer pricing, international tax planning, tax audit support, and digital business taxation.

The specific services, deliverables, timelines, and fees will be outlined in a separate engagement letter or service agreement between Nexorion and the Client. These Terms shall be read in conjunction with any such engagement letter or service agreement.

4. Client Responsibilities

As a Client of Nexorion, you agree to:

Provide accurate, complete, and timely information necessary for us to perform our services
Cooperate with our requests for information, documents, or clarifications
Review any documents, advice, or work product we provide and promptly notify us of any questions or concerns
Pay all fees and expenses as agreed in the engagement letter or service agreement
Comply with all applicable laws and regulations in relation to your business activities
Make independent decisions regarding the implementation of any advice or recommendations we provide

5. Fees and Payment

Our fees for services will be outlined in the engagement letter or service agreement. Unless otherwise agreed in writing:

Fees are exclusive of any applicable taxes
Payment is due within 30 days of the invoice date
We reserve the right to charge interest on overdue accounts at the rate of 1.5% per month
We may suspend or terminate our services if payment is not received when due
You are responsible for all reasonable costs we incur in collecting overdue amounts, including legal fees

6. Website Use

By using our Website, you agree to:

Use the Website only for lawful purposes and in accordance with these Terms
Not use the Website in any way that could damage, disable, overburden, or impair the Website or interfere with any other party's use of the Website

Our total liability to you for all claims arising from or related to our services shall not exceed the total fees paid by you to us for the specific services that gave rise to the claim
We are not liable for any loss or damage arising from your failure to provide accurate information or to comply with applicable laws and regulations

10. Indemnification

Either party may terminate the service engagement as specified in the engagement letter or service agreement. Upon termination:

All fees for services performed up to the date of termination will become immediately due and payable
We will return any original documents provided by you, upon request
Our confidentiality obligations will continue

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of Singapore.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify Clients of any material changes to these Terms. Your continued use of the Website or services after the effective date of the revised Terms constitutes your acceptance of the changes.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any engagement letter or service agreement, constitute the entire agreement between you and Nexorion regarding your use of the Website and services, and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.
